AFFILIATE & REFERRAL AGREEMENT

Effective Date: June 12, 2026

This Affiliate & Referral Agreement (“Agreement”) governs participation in the Black Business Coalition (“BBC,” “we,” “our,” or “us”) Affiliate and Referral Program.

By applying for, enrolling in, participating in, promoting, or receiving compensation through any Black Business Coalition referral, affiliate, recruitment, lead generation, marketing, membership promotion, directory development, sponsorship, or business opportunity program, you (“Affiliate,” “Referral Partner,” “Participant,” or “You”) agree to be bound by this Agreement.


1. PROGRAM PURPOSE

The Black Business Coalition Affiliate & Referral Program is designed to reward individuals and businesses for promoting the Black Business Coalition, its programs, memberships, services, events, opportunities, directories, strategic partnerships, and related offerings.

Participants may earn compensation for qualified referrals that meet all program requirements and are approved by the Black Business Coalition.

Nothing in this Agreement guarantees compensation, commissions, earnings, referrals, or continued participation.


2. INDEPENDENT CONTRACTOR STATUS

Participants are independent contractors and not employees of the Black Business Coalition.

Nothing in this Agreement shall create:

  • Employment
  • Partnership
  • Joint venture
  • Agency relationship
  • Franchise relationship
  • Fiduciary relationship

Participants are solely responsible for:

  • Federal taxes
  • State taxes
  • Local taxes
  • Self-employment taxes
  • Licenses
  • Insurance
  • Regulatory compliance
  • Business expenses

No benefits, wages, workers’ compensation coverage, unemployment benefits, health insurance, retirement benefits, or employee protections are provided through participation in the Program.


3. ELIGIBILITY

To participate, you must:

  • Be at least 18 years old.
  • Possess legal capacity to enter into contracts.
  • Provide accurate application information.
  • Comply with all applicable laws and regulations.
  • Maintain a positive standing with the Black Business Coalition.

The BBC reserves the right to approve, deny, suspend, or terminate participation at its sole discretion.


4. QUALIFIED REFERRALS

A Qualified Referral is a referral that:

  • Is submitted through an approved referral process.
  • Can be properly attributed to the referring participant.
  • Completes all required application, enrollment, registration, or purchase requirements.
  • Is verified by the BBC.
  • Is approved by the BBC.
  • Remains in good standing during any applicable verification period.

The BBC shall have sole authority to determine whether a referral qualifies for compensation.


5. COMMISSION ELIGIBILITY

Compensation may be available for approved referrals involving:

  • Membership enrollments
  • Business directory listings
  • Sponsorship opportunities
  • Business services
  • Merchant processing services
  • Lead generation programs
  • Event registrations
  • Strategic partner programs
  • Business development services
  • Other approved opportunities

Commission structures, bonus programs, residual compensation programs, and incentive programs may be modified, suspended, expanded, or terminated at any time.

The BBC reserves the right to establish additional eligibility requirements for specific programs.


6. COMMISSION APPROVAL

Commissions are earned only after:

  • Referral verification
  • Fraud review
  • Program qualification review
  • Payment verification
  • Compliance review
  • Approval by the BBC

No commission is earned until officially approved by the BBC.

The BBC’s records shall be considered final regarding commission calculations and referral attribution.


7. RESIDUAL COMMISSIONS

Where residual commissions are offered, eligibility is conditioned upon:

  • The referred customer or member remaining active.
  • The referred customer or member remaining in good standing.
  • Continued participation in the applicable program.
  • Compliance with this Agreement.

Residual commissions may be modified, reduced, suspended, or discontinued at the BBC’s discretion unless otherwise stated in a separate written agreement.


8. PAYMENT TERMS

Approved commissions may be paid according to the payment schedule established by the BBC.

The BBC reserves the right to:

  • Delay payments during investigations.
  • Correct calculation errors.
  • Offset overpayments.
  • Withhold payments for compliance reviews.
  • Require tax documentation before payment.

Participants are responsible for providing accurate payment information.

The BBC shall not be responsible for delays caused by incorrect payment information.


9. TAX REPORTING

Participants are solely responsible for:

  • Tax reporting
  • Income reporting
  • Business registration requirements
  • Tax payments

Where required by law, the BBC may issue tax reporting forms including but not limited to IRS Form 1099.

Participants agree to provide requested tax documentation before receiving compensation.


10. PROHIBITED ACTIVITIES

Participants shall not:

  • Make false or misleading claims.
  • Guarantee income or earnings.
  • Misrepresent BBC services or opportunities.
  • Use deceptive marketing practices.
  • Engage in spam marketing.
  • Use unauthorized advertising.
  • Purchase leads using prohibited methods.
  • Use automated systems to generate referrals.
  • Violate advertising laws.
  • Violate FTC regulations.
  • Violate consumer protection laws.
  • Engage in fraudulent activity.

Violation of this section may result in immediate termination and forfeiture of unpaid commissions.


11. FTC COMPLIANCE

Participants must comply with all Federal Trade Commission (FTC) advertising and endorsement requirements.

When promoting BBC opportunities, participants must clearly disclose any financial relationship with the Black Business Coalition.

Examples include:

  • “I may receive compensation if you join through my referral link.”
  • “I am a referral partner with the Black Business Coalition.”

Participants are solely responsible for compliance with applicable advertising laws.


12. NO EARNINGS GUARANTEE

The BBC does not guarantee:

  • Earnings
  • Commissions
  • Referrals
  • Leads
  • Customers
  • Sales
  • Residual income
  • Business growth
  • Financial success

Any earnings examples are provided solely for illustrative purposes.

Actual results vary significantly.

13. MARKETING MATERIALS

The BBC may provide promotional materials, logos, graphics, content, marketing tools, or other resources.

Participants receive a limited, revocable, non-exclusive license to use approved materials solely for promoting authorized BBC programs.

The BBC may revoke this license at any time.

Participants may not alter logos, trademarks, branding, or marketing materials without written authorization.


14. INTELLECTUAL PROPERTY

All BBC trademarks, logos, content, graphics, marketing materials, training materials, videos, website content, and related intellectual property remain the exclusive property of the Black Business Coalition.

Participation in the Program does not transfer ownership rights.


15. TERMINATION

The BBC may suspend or terminate participation at any time, with or without notice, for any reason including:

  • Policy violations
  • Fraud
  • Misrepresentation
  • Compliance concerns
  • Reputational concerns
  • Inactivity
  • Business decisions

Upon termination:

  • Referral rights may cease.
  • Marketing permissions terminate.
  • Access to program materials may be revoked.
  • Future commission eligibility may end.

16. COMMISSION FORFEITURE

The BBC may withhold, reduce, reverse, or forfeit commissions if:

  • Fraud is suspected.
  • Chargebacks occur.
  • Refunds are issued.
  • False information is submitted.
  • Program rules are violated.
  • Legal violations occur.
  • Customer cancellations occur within applicable review periods.

17. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the BBC shall not be liable for:

  • Lost profits
  • Lost opportunities
  • Business interruption
  • Indirect damages
  • Consequential damages
  • Special damages
  • Incidental damages

The BBC’s total liability shall not exceed the amount of commissions actually paid to the participant during the twelve (12) months preceding any claim.


18. INDEMNIFICATION

Participants agree to defend, indemnify, and hold harmless the Black Business Coalition, its officers, directors, employees, contractors, volunteers, affiliates, sponsors, and partners from any claims, liabilities, losses, damages, costs, or expenses arising from:

  • Participant conduct
  • Marketing activities
  • Advertising claims
  • Legal violations
  • Breach of this Agreement
  • Referral activities

19. GOVERNING LAW

This Agreement shall be governed by the laws of the Commonwealth of Virginia without regard to conflict of law principles.


20. DISPUTE RESOLUTION

Any dispute arising from this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA).

The arbitration shall take place in Virginia.

Participants waive any right to a jury trial.


21. CLASS ACTION WAIVER

All disputes shall be resolved on an individual basis.

Participants waive any right to participate in class actions, collective actions, representative actions, or private attorney general actions.


22. MODIFICATIONS

The BBC reserves the right to modify this Agreement at any time.

Updated versions become effective upon posting to the BBC website.

Continued participation constitutes acceptance of any revisions.

AFFILIATE ACKNOWLEDGMENT

By participating in any Black Business Coalition referral, affiliate, recruitment, lead generation, membership promotion, directory development, sponsorship, or commission-based program, you acknowledge that:

✓ You understand and agree to all terms.

✓ You understand that commissions are not guaranteed.

✓ You understand that you are an independent contractor.

✓ You agree to comply with all applicable laws and regulations.

✓ You agree to comply with BBC policies and procedures.

✓ You understand that participation may be terminated at any time in accordance with this Agreement.
