BUSINESS DIRECTORY LISTING AGREEMENT

This Business Directory Listing Agreement (“Agreement”) governs the submission, publication, maintenance, promotion, and participation of businesses listed within any Black Business Coalition (“BBC,” “we,” “our,” or “us”) business directory, member directory, vendor directory, resource directory, service provider directory, marketplace, business showcase, referral network, or related listing platform (collectively, the “Directory”).

By submitting, creating, claiming, managing, updating, or maintaining a business listing within any BBC Directory, you (“Business,” “Listing Owner,” “Member,” or “You”) agree to be bound by this Agreement.

1. PURPOSE OF THE DIRECTORY

The Black Business Coalition Directory is intended to provide visibility, networking opportunities, business exposure, referral opportunities, and access to resources for participating businesses and organizations.

The Directory is provided as a marketing and informational resource only.

The BBC does not endorse, certify, guarantee, verify, or warrant the quality, legality, safety, reliability, licensing, qualifications, or performance of any listed business.

2. ELIGIBILITY

To maintain a listing, you represent and warrant that:

You are at least 18 years old.
You are authorized to act on behalf of the business.
The business is legally operating.
All submitted information is accurate.
The business complies with applicable laws and regulations.
You possess all rights necessary to submit content, images, trademarks, and materials provided to the BBC.

The BBC reserves the right to approve, reject, suspend, edit, or remove any listing at its sole discretion.

3. BUSINESS INFORMATION

You agree that all information submitted to the Directory shall be truthful, accurate, complete, and current.

Information may include:

Business name
Contact information
Website address
Physical address
Service areas
Business description
Products and services
Social media profiles
Business logos
Photos
Videos
Marketing materials
Certifications
Professional credentials

You are solely responsible for maintaining accurate information.

4. NO GUARANTEE OF RESULTS

The BBC does not guarantee:

Customer inquiries
Leads
Referrals
Sales
Revenue
Contracts
Website traffic
Search engine rankings
Business growth
Marketing success
Networking opportunities

Directory participation does not guarantee any specific business outcome.

Individual results will vary.

5. LISTING FEES

Certain directory listings, featured placements, enhanced profiles, premium listings, advertising opportunities, sponsorships, or promotional services may require payment.

Unless otherwise stated:

Fees are non-refundable.
Listing fees do not guarantee results.
Fees compensate the BBC for administrative, marketing, technology, and operational services.

The BBC reserves the right to modify pricing, features, and listing options at any time.

6. BUSINESS RESPONSIBILITY

Each listed business is solely responsible for:

Products
Services
Customer interactions
Pricing
Advertising claims
Business operations
Regulatory compliance
Licensing
Permits
Taxes
Insurance
Warranties
Contracts

The BBC is not a party to transactions between businesses and customers.

7. CONTENT LICENSE

You retain ownership of your submitted content.

By submitting content to the Directory, you grant the BBC a worldwide, perpetual, royalty-free, transferable, sublicensable license to:

Display
Publish
Reproduce
Distribute
Promote
Modify for formatting purposes
Market
Advertise

your listing and related content in connection with the Directory and BBC promotional activities.

This license remains in effect for content already published prior to removal.

8. INTELLECTUAL PROPERTY REPRESENTATIONS

You represent and warrant that:

You own or control all submitted content.
You possess authorization to use all logos, images, trademarks, and materials submitted.
Your content does not infringe upon the rights of others.

You agree to indemnify the BBC against any claims arising from submitted materials.

9. PROHIBITED CONTENT

Listings may not contain:

False information
Fraudulent claims
Misleading advertising
Illegal products or services
Hate speech
Defamatory content
Obscene material
Copyright violations
Trademark violations
Malicious software
Spam content

The BBC reserves the right to remove prohibited content without notice.

10. REVIEWS, RATINGS, AND COMMENTS

If reviews, testimonials, ratings, comments, or recommendations are permitted within the Directory:

Users are responsible for their submissions.
The BBC does not verify accuracy.
The BBC reserves the right to remove content at its discretion.
Reviews do not constitute endorsements by the BBC.

The BBC assumes no responsibility for user-generated feedback.

11. REFERRALS AND BUSINESS CONNECTIONS

The Directory may facilitate introductions, referrals, networking opportunities, partnerships, and business connections.

The BBC does not guarantee:

Referral quality
Referral volume
Customer satisfaction
Contract execution
Payment by customers
Business relationships

Businesses assume all risks associated with referrals and business dealings.

12. NO ENDORSEMENT

Inclusion in the Directory does not constitute:

Certification
Accreditation
Licensing verification
Recommendation
Endorsement
Approval

Users are encouraged to independently evaluate any business before engaging in transactions.

13. LISTING REMOVAL

The BBC reserves the right to:

Remove listings
Edit listings
Suspend listings
Refuse publication
Terminate participation

for any reason including:

Policy violations
Inaccurate information
Fraud concerns
Legal concerns
Reputational concerns
Non-payment
Business inactivity

The BBC may remove listings without prior notice.

14. LISTING OWNERSHIP AND TRANSFER

Listings are non-transferable without written approval from the BBC.

Changes in business ownership may require listing verification and reapproval.

15. DISCLAIMER OF WARRANTIES

THE DIRECTORY IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BBC DISCLAIMS ALL WARRANTIES, INCLUDING:

Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy
Reliability
Availability

The BBC makes no warranty that the Directory will operate uninterrupted or error-free.

16. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, THE BBC SHALL NOT BE LIABLE FOR:

Lost profits
Lost revenue
Lost business opportunities
Customer disputes
Data loss
Reputation damage
Indirect damages
Incidental damages
Consequential damages

The BBC’s total liability shall not exceed the amount paid by the listing owner to the BBC during the twelve (12) months preceding any claim.

17. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Black Business Coalition, its officers, directors, employees, contractors, volunteers, affiliates, sponsors, and partners from any claims, damages, losses, liabilities, costs, or expenses arising from:

Your business activities
Directory content
Products or services offered
Customer disputes
Legal violations
Intellectual property claims
Breach of this Agreement

18. PRIVACY

Information collected through the Directory is governed by the BBC Privacy Policy.

By participating in the Directory, you consent to the collection, use, and disclosure of information as described in the Privacy Policy.

19. GOVERNING LAW

This Agreement shall be governed by the laws of the Commonwealth of Virginia without regard to conflict of law principles.

20. DISPUTE RESOLUTION

Any dispute arising from this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA).

The arbitration shall occur in the Commonwealth of Virginia.

Each party waives the right to a jury trial.

21. CLASS ACTION WAIVER

All disputes shall be resolved individually.

Participants waive any right to participate in:

Class actions
Collective actions
Representative actions
Private attorney general actions

22. MODIFICATIONS

The BBC may modify this Agreement at any time.

Updated versions become effective upon posting to the BBC website.

Continued participation in the Directory constitutes acceptance of revised terms.

DIRECTORY PARTICIPANT ACKNOWLEDGMENT

By submitting, maintaining, updating, claiming, or participating in a Black Business Coalition Directory listing, you acknowledge and agree that:

✓ You understand that inclusion in the Directory does not constitute endorsement by the BBC.

✓ You understand that leads, referrals, customers, and sales are not guaranteed.

✓ You are responsible for the accuracy of your listing.

✓ You are responsible for compliance with all applicable laws.

✓ You agree to indemnify the BBC as described herein.

✓ You agree to be bound by this Agreement and all applicable BBC policies.
