1. Independent Relationship

Contractors engaged by or through the Black Business Coalition are independent contractors and not employees, partners, joint venturers, or agents unless a separate written agreement states otherwise.

2. Control and Responsibility

Contractors control the manner and means of performing services subject to agreed deliverables, deadlines, quality standards, program rules, and applicable law. Contractors are responsible for taxes, tools, expenses, insurance, licenses, and permits unless stated otherwise in writing.

3. No Employee Benefits

Contractors are not entitled to employee benefits, unemployment insurance, workers’ compensation, paid leave, retirement benefits, or other benefits provided to employees.

4. Confidentiality

Contractors may receive confidential business information and must protect it from unauthorized use or disclosure. Confidentiality obligations survive the end of the relationship.

5. Intellectual Property

Unless otherwise agreed in writing, work product specifically created and paid for by the Black Business Coalition may be considered work made for hire or assigned to the Black Business Coalition to the fullest extent permitted by law.

6. Compliance

Contractors must comply with applicable laws, tax rules, privacy obligations, brand guidelines, platform policies, safety requirements, and professional standards.

7. Termination

Either party may end a contractor relationship according to the applicable statement of work, program rules, platform terms, or written agreement.
