REFUND & CANCELLATION POLICY

The Black Business Coalition (“BBC,” “we,” “our,” or “us”) is committed to providing valuable programs, memberships, business opportunities, educational resources, networking events, directory services, and support to entrepreneurs, professionals, and business owners.

This Refund & Cancellation Policy explains the terms governing refunds, cancellations, membership fees, event registrations, sponsorships, directory listings, and other services offered by the Black Business Coalition.

By purchasing, registering for, subscribing to, enrolling in, or participating in any BBC program, service, event, membership, or opportunity, you agree to this Policy.

1. MEMBERSHIP FEES ARE NON-REFUNDABLE

ALL MEMBERSHIP FEES PAID TO THE BLACK BUSINESS COALITION ARE NON-REFUNDABLE.

This applies to:

Monthly memberships
Annual memberships
Premium memberships
Founding memberships
Organizational memberships
Business memberships
Membership upgrades
Membership renewals
Promotional membership purchases
Discounted membership purchases

Once a membership payment has been processed, no refunds, credits, partial refunds, prorated refunds, or exchanges will be issued except where required by applicable law.

This policy applies regardless of:

Usage of membership benefits
Participation level
Business results
Referral results
Earnings results
Program participation
Personal circumstances
Changes in business conditions

Members are encouraged to carefully review membership benefits before enrolling.

2. MEMBERSHIP CANCELLATIONS

Members may cancel future renewals at any time.

Cancellation of a membership:

Stops future recurring charges.
Does not result in a refund of previously paid fees.
Does not entitle the member to prorated refunds.
Does not entitle the member to credits for unused time.

Unless otherwise stated, membership access remains active through the end of the current paid membership period.

At the conclusion of the paid term, access to membership benefits may terminate.

3. MEMBERSHIP UPGRADES

When a member upgrades to a higher membership level:

Upgrade fees are non-refundable.
Downgrades do not generate refunds.
Credits for unused portions of prior membership plans are generally not provided unless specifically authorized by the BBC.

4. DIRECTORY LISTING FEES

Fees associated with:

Business directory listings
Featured listings
Enhanced listings
Sponsored listings
Marketplace listings
Promotional placements

are non-refundable once the listing has been created, published, processed, or scheduled.

Removal of a listing does not entitle the participant to a refund.

5. EVENT REGISTRATIONS

Event registration fees may be subject to specific event cancellation terms communicated during registration.

Unless otherwise stated:

More Than 30 Days Before Event

Requests received more than thirty (30) days before the event may be eligible for:

Transfer to another attendee, or
Event credit, at the BBC’s discretion.

Less Than 30 Days Before Event

No refunds will generally be provided for cancellations received within thirty (30) days of the event.

Failure to Attend

No refunds shall be issued for:

No-shows
Failure to attend
Late arrivals
Early departures

6. EVENT CANCELLATIONS BY THE BBC

The BBC reserves the right to:

Cancel events
Reschedule events
Modify event formats
Change venues
Change speakers
Convert in-person events to virtual events

If the BBC cancels an event entirely, participants may receive one of the following at the BBC’s discretion:

Event credit
Transfer to a future event
Refund of the event registration fee

The BBC shall not be responsible for:

Travel costs
Lodging expenses
Lost wages
Business losses
Transportation expenses
Incidental expenses

7. SPONSORSHIPS AND ADVERTISING

Unless otherwise agreed in writing:

Payments for:

Sponsorships
Advertising
Promotional placements
Marketing campaigns
Event sponsorships
Featured exposure opportunities

are non-refundable once purchased or scheduled.

8. REFERRAL PROGRAMS AND COMMISSIONS

Participation in referral, affiliate, recruitment, lead generation, or commission-based programs does not create refund rights.

The BBC reserves the right to:

Reverse commissions
Withhold commissions
Adjust commissions
Deny commissions

where applicable program requirements are not satisfied.

Compensation disputes shall be governed by the applicable Affiliate & Referral Agreement.

9. CONTRACTOR PROGRAMS

Payments made to independent contractors are governed by applicable contractor agreements.

Contractors are not entitled to refunds for participation in contractor opportunities.

10. CHARGEBACKS AND PAYMENT DISPUTES

Participants agree not to initiate unwarranted chargebacks or payment disputes.

If a chargeback or payment dispute is initiated:

The BBC reserves the right to:

Suspend accounts
Terminate memberships
Remove directory listings
Revoke event access
Pursue collection efforts
Recover costs and fees associated with the dispute

This provision does not limit any rights available under applicable law.

11. EXCEPTIONS

The BBC may, in its sole discretion, provide:

Credits
Transfers
Refunds
Alternative accommodations

under exceptional circumstances.

Any exception granted in one instance shall not create an obligation to provide similar exceptions in future cases.

12. FRAUD PREVENTION

The BBC reserves the right to:

Investigate transactions
Verify identities
Verify payment information
Refuse transactions
Cancel registrations
Deny services

where fraud, abuse, or unauthorized activity is suspected.

13. FORCE MAJEURE

The BBC shall not be liable for cancellation, delay, interruption, or modification of services due to circumstances beyond its reasonable control, including:

Natural disasters
Severe weather
Government actions
Public health emergencies
Labor disputes
Power outages
Technology failures
Internet disruptions
Acts of God

Refund obligations may be limited under such circumstances to the maximum extent permitted by law.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Black Business Coalition shall not be liable for:

Lost profits
Lost opportunities
Lost business
Lost income
Consequential damages
Special damages
Incidental damages
Indirect damages

arising from purchases, cancellations, memberships, events, sponsorships, directory listings, or participation in BBC programs.

15. GOVERNING LAW

This Policy shall be governed by the laws of the Commonwealth of Virginia without regard to conflict of law principles.

16. DISPUTE RESOLUTION

Any dispute arising from this Policy shall be resolved through binding arbitration administered by the American Arbitration Association (AAA).

The arbitration shall take place in Virginia.

Participants waive any right to a jury trial.

17. CLASS ACTION WAIVER

All claims shall be brought solely on an individual basis.

Participants waive any right to participate in:

Class actions
Collective actions
Representative actions
Private attorney general actions

18. MODIFICATIONS TO THIS POLICY

The BBC reserves the right to modify this Refund & Cancellation Policy at any time.

Updated versions become effective upon posting to the website.

Continued participation in BBC programs constitutes acceptance of any revisions.

By purchasing, enrolling in, subscribing to, registering for, or participating in any Black Business Coalition program, membership, event, service, sponsorship, directory listing, or opportunity, I acknowledge and agree that:

✓ Membership fees are non-refundable.

✓ Directory listing fees are generally non-refundable.

✓ Sponsorship and advertising fees are generally non-refundable.

✓ Event registrations may be subject to event-specific cancellation terms.

✓ Failure to use services does not create refund rights.

✓ Future recurring membership charges may be canceled, but prior payments will not be refunded.

✓ I agree to be bound by this Refund & Cancellation Policy.
