These Terms of Service (“Terms”) govern your access to and use of the Black Business Coalition website, programs, memberships, business opportunities, events, directories, services, content, and related platforms (collectively, the “Services”).

By accessing, browsing, registering for, or using any Services provided by the Black Business Coalition (“BBC,” “we,” “us,” or “our”), you agree to be bound by these Terms.

1. ABOUT THE BLACK BUSINESS COALITION

The Black Business Coalition is an organization dedicated to supporting entrepreneurs, business owners, professionals, and community leaders through education, networking, business development, economic empowerment, referrals, strategic partnerships, business opportunities, events, resources, and related initiatives.

The BBC reserves the right to modify, suspend, discontinue, or expand any service, membership benefit, program, opportunity, event, directory, platform, or initiative at any time without prior notice.


2. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into binding contracts to use the Services.

By using the Services, you represent and warrant that:

  • You are at least 18 years of age.
  • Information you provide is accurate and truthful.
  • You have authority to act on behalf of any business you represent.
  • Your use of the Services complies with applicable laws and regulations.

3. MEMBERSHIP

Certain Services may require membership enrollment.

Membership benefits, pricing, commissions, opportunities, access levels, and program offerings may change at any time.

The BBC reserves the right to:

  • Approve or deny membership applications.
  • Suspend memberships.
  • Terminate memberships.
  • Remove members for violations of these Terms.

Membership fees are generally non-refundable unless otherwise required by law.

By submitting a business listing, you represent that:

  • You own or are authorized to represent the business.
  • All information provided is accurate.
  • You possess all necessary rights to submitted content.

The BBC does not guarantee:

  • Leads
  • Sales
  • Customers
  • Revenue
  • Business opportunities
  • Search engine rankings
  • Directory visibility

Businesses remain solely responsible for their products, services, pricing, claims, customer relationships, and legal compliance.


5. BUSINESS OPPORTUNITIES AND REFERRAL PROGRAMS

The BBC may offer opportunities involving:

  • Membership recruitment
  • Lead generation
  • Referral programs
  • Affiliate marketing
  • Business development
  • Event promotion
  • Sponsorship sales
  • Directory development
  • Independent contractor opportunities
  • Commission-based opportunities

Participation in any opportunity does not create:

  • Employment
  • Partnership
  • Agency
  • Joint venture
  • Franchise relationship

Participants act as independent contractors.

Participants are solely responsible for:

  • Taxes
  • Licenses
  • Insurance
  • Regulatory compliance
  • Marketing practices
  • Business expenses

6. NO EARNINGS GUARANTEE

The BBC makes no guarantees regarding:

  • Income
  • Earnings
  • Commissions
  • Residual income
  • Sales
  • Customers
  • Leads
  • Business growth
  • Financial success

Any examples of earnings, testimonials, projections, or income illustrations are provided for informational purposes only.

Actual results vary based on numerous factors, including effort, skill, market conditions, experience, economic conditions, and individual circumstances.

Past performance does not guarantee future results.


7. PAYMENT PROCESSING SERVICES

The BBC may offer access to payment processing services, merchant accounts, financial products, funding opportunities, or related business services.

The BBC is not a bank, lender, financial institution, payment processor, or investment advisor.

Approval for any financial product is determined solely by the applicable provider.

The BBC does not guarantee:

  • Approval
  • Funding
  • Processing rates
  • Merchant account approval
  • Financing

8. EVENTS AND TRAINING

The BBC may host:

  • Conferences
  • Workshops
  • Networking events
  • Webinars
  • Business expos
  • Community events
  • Educational programs

Attendance is voluntary.

Participants assume all risks associated with attendance, including:

  • Travel risks
  • Personal injury
  • Illness
  • Property loss
  • Business losses

The BBC reserves the right to cancel, postpone, modify, or reschedule events.


9. USER CONTENT

Users may submit:

  • Business profiles
  • Comments
  • Reviews
  • Images
  • Videos
  • Marketing materials
  • Testimonials
  • Event content
  • Social media content

You retain ownership of your content.

By submitting content, you grant the BBC a worldwide, perpetual, royalty-free, transferable license to:

  • Display
  • Publish
  • Reproduce
  • Distribute
  • Modify
  • Promote
  • Market

such content in connection with the Services.


10. PROHIBITED CONDUCT

You agree not to:

  • Violate laws or regulations.
  • Post false or misleading information.
  • Engage in fraud.
  • Misrepresent yourself or your business.
  • Infringe intellectual property rights.
  • Upload malicious software.
  • Harass, threaten, or abuse others.
  • Interfere with the Services.
  • Spam users.
  • Manipulate referral programs.
  • Use automated systems without permission.

The BBC reserves the right to investigate violations and take appropriate action.


11. INTELLECTUAL PROPERTY

All BBC content, including:

  • Logos
  • Branding
  • Graphics
  • Articles
  • Videos
  • Educational materials
  • Training resources
  • Software
  • Website design

are owned by or licensed to the BBC and protected by intellectual property laws.

No content may be copied, distributed, reproduced, or used without written permission.


12. THIRD-PARTY SERVICES

The Services may include links to third-party websites, products, services, vendors, sponsors, or partners.

The BBC does not control and is not responsible for:

  • Third-party content
  • Products
  • Services
  • Websites
  • Transactions
  • Policies

Use of third-party services is at your own risk.


13. DISCLAIMERS

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BBC DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • AVAILABILITY
  • ACCURACY
  • RELIABILITY

The BBC does not warrant that:

  • Services will be uninterrupted.
  • Information will be error-free.
  • Platforms will be secure.
  • Results will meet expectations.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BBC, ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, CONTRACTORS, AFFILIATES, PARTNERS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR:

  • Indirect damages
  • Consequential damages
  • Incidental damages
  • Lost profits
  • Lost revenue
  • Lost business opportunities
  • Data loss
  • Reputation damage

In no event shall the BBC’s total liability exceed the amount paid by the user to the BBC during the twelve (12) months preceding the claim.


15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the BBC and its officers, directors, employees, volunteers, contractors, affiliates, sponsors, and partners from claims arising out of:

  • Your use of the Services.
  • Violation of these Terms.
  • Violation of law.
  • User content.
  • Business activities.
  • Referral activities.
  • Marketing activities.

16. ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receive communications electronically, including:

  • Emails
  • Text messages
  • Notifications
  • Marketing communications
  • Membership updates
  • Event announcements

You may opt out of promotional communications where permitted by law.


17. PRIVACY

Your use of the Services is also governed by the BBC Privacy Policy.

18. ARBITRATION AGREEMENT

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration.

The arbitration shall:

  • Be conducted in the Commonwealth of Virginia.
  • Be administered by the American Arbitration Association (AAA).
  • Be conducted under applicable AAA Commercial Arbitration Rules.

Each party waives the right to a jury trial.


19. CLASS ACTION WAIVER

To the maximum extent permitted by law, disputes shall be resolved on an individual basis only.

No class action, collective action, representative action, or private attorney general action may be brought.


20. GOVERNING LAW

These Terms shall be governed by and interpreted under the laws of the Commonwealth of Virginia, without regard to conflict of law principles.


21. FORCE MAJEURE

The BBC shall not be liable for delays or failures resulting from events beyond its reasonable control, including:

  • Natural disasters
  • Government actions
  • Power outages
  • Internet disruptions
  • Cyberattacks
  • Labor disputes
  • Public health emergencies

22. CHANGES TO THESE TERMS

The BBC may modify these Terms at any time.

Updated Terms become effective upon posting.

Continued use of the Services constitutes acceptance of revised Terms.
